What is a Private Limited Company (Pte Ltd)?
A Pte Ltd is the most common and versatile entity in Singapore. It acts as an independent legal body, distinct from its shareholders. This means the parent company (or individual founder) is protected from the subsidiaryβs liabilities.

- At least one shareholder (can be foreign individual or corporate).
- Minimum paid-up capital of just S$1.
- At least one resident director (Singapore citizen, Permanent Resident, or Employment Pass holder).

What is a Branch Office?
A Branch Office is a registered legal extension of a foreign parent company. It is not a separate legal entity, meaning the parent company is fully responsible for all debts and liabilities incurred by the Singapore branch.

- Must operate under the same name and conduct the same activities as the parent company.
- Requires at least one authorized representative who is ordinarily resident in Singapore.
- Must file both its own audited accounts and the audited accounts of the parent company with ACRA annually.

Appoint Local Director
Engage a nominee director service if you don't yet have an Employment Pass.
Incorporation Filing

Employment Pass & Relocation
Company ownership itself does not automatically give you the right to live or work in Singapore. A foreign founder intending to manage the business locally needs an appropriate work visa, typically an Employment Pass (EP).
The EP is heavily assessed on salary eligibility, the candidate's qualifications, and the company's financial viability (under the COMPASS framework). It is not a guaranteed "entrepreneur visa" for every small business.
